We shall provide data labeling services to the client (referred to as “the Client”). The services include the annotation, tagging, and labeling of datasets to facilitate machine learning model training.

Data Requirements: 

The Client shall provideus with the necessary datasets and associated guidelines for labeling, including any specific labeling requirements, formats, or labeling tools to be utilized.

Quality Assurance:

We shall employ rigorous quality assurance measures to ensure accurate and consistent labeling. This may include manual reviewing for internal quality control processes to maintain high-quality labeled datasets.

Project Timeline: 

We will provide an estimated timeline for the completion of the data labeling project. However, the timeline may be subject to adjustments based on the complexity of the dataset and the quantity of data to be labeled.

Data Security and Confidentiality: 

The Company acknowledges that the datasets provided by the Client may contain sensitive and confidential information. Therefore, the Company shall implement appropriate security measures to protect the data, including encryption, access controls, and confidentiality agreements with its employees.

Intellectual Property Rights:

The Client retains ownership of the original datasets provided for labeling. However, the Client acknowledges and agrees that we may use anonymized and aggregated data for internal research and development purposes while ensuring the confidentiality of the Client’s proprietary information.

Client Review and Feedback: 

The Client shall have the opportunity to review and provide feedback on the labeled datasets within a specified timeframe. The Company will consider and address any reasonable feedback or corrections requested by the Client.

Payment Terms: 

The Client shall compensate us for the services rendered based on the agreed-upon pricing structure. Payment terms, including rates, invoicing cycles, and accepted payment methods, will be detailed in a separate agreement or invoice.

Termination: 

Either party may terminate the agreement with written notice if there is a material breach of the terms and conditions. Termination shall not relieve the Client’s obligation to compensate the Company for services rendered up to the termination date.

Governing Law and Jurisdiction: 

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction agreed upon by both parties. Any disputes arising from this agreement shall be resolved through negotiation, mediation, or, if necessary, in a court of competent jurisdiction.
